Clients seek counsel from our Creditors' Rights and Commercial Finance Group for assistance in structuring, negotiating, documenting and closing sophisticated financial transactions of many different kinds and virtually all sizes.  These include private placements, secured and unsecured credit facilities, receivable-backed and other asset-based transactions, lease transactions, real estate financings, credit enhancements and loan sales, and restructurings and workouts.

We represent a diverse group of clients, including multi-state financial institutions, business entities engaged in commercial loan origination, banks, and financial services companies. Credit arrangements include secured and unsecured loans, letter of credit facilities, revolving credit and term loans (including tranche B facilities), multi-borrower facilities and DIP and cash-collateral facilities, and range from small single lender loans to large syndicated financings.

We assist at every stage, and provide strategic advice regarding transaction structures, term sheets and covenants, and we undertake due diligence.   After closing, our clients call on us as necessary to prepare amendments and waivers, and restructure transactions, and to enforce their rights as secured lenders.

Our depth of knowledge and experience allows us to anticipate issues, come up with creative solutions and efficiently close transactions, including transactions that often involve complicated borrower structures, financial covenants and multiple inter-creditor relationships.  Clients value both our depth of knowledge and practical assistance in pursuing their objectives with solutions that work for both sides.
