The Corporate and Tax Group renders advice to the firm’s clients with respect to all business issues and financial matters, including the legal aspects of corporate operations in general.  The group is primarily engaged in mergers and acquisitions, corporate finance, venture capital financing, including private placements and other methods of capital investment representing both issuers and investors, labor and employment matters, intellectual property matters, shareholder agreements, buy/sell arrangements, non-disclosure and non-compete agreements, domestic and international tax planning, equipment and leveraged leasing, partnership transactions and general corporate counseling. 

The group’s clients include business entities involved in such diverse activities as cable television, venture capital investing, merchant banking, telecommunications, biomedical technology, computer technology, medical and professional services, retail sales, financial services, manufacturing, publishing and entertainment.
